In ancient India, social work was an integral part of the cultural ethos, with its scope spanning personal efforts to the contributions of non-profits and large corporations.<br><strong>Corporate Social Responsibility (CSR)<\/strong> has deep roots in Indian history, guided by religious teachings that emphasise serving the poor and needy, living with integrity, and extending hospitality to guests. The underlying principle is to give back to society in gratitude for what it provides.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Corporate_Social_ResponsibilityCSR-Definitions\"><\/span>Corporate Social Responsibility(CSR)-Definitions<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Corporate Social Responsibility (CSR) refers to the activities carried out by companies to fulfil their statutory obligation under <strong>Section 135 of the Companies Act, 2013.<\/strong><br>It represents a voluntary effort by businesses to contribute to societal and humanitarian welfare. CSR encompasses various initiatives undertaken by large corporations to create a positive impact on society, leveraging their extensive resources and infrastructure. These efforts not only foster societal progress but also enable companies to align profitability with ethical values. Socially responsible businesses utilize CSR to harmonize economic, environmental, and social goals with their operations and growth strategies.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"CSR_Eligibility_Which_Companies_Qualify\"><\/span>CSR Eligibility: Which Companies Qualify?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong><span style=\"text-decoration: underline;\">Eligibility of companies to undertake CSR Activities<\/span><\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Every Company, including their holding or subsidiary companies. It includes companies registered under section 8 of the Companies Act 2013 for carrying out non-profit making activities and<\/li>\n\n\n\n<li>Foreign companies operating in India through branch offices or project offices.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">A company is required to comply with CSR provisions in a financial year if it satisfies any of the following criteria in the preceding financial year, as outlined in Section 135(1) of the Companies Act, 2013:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Net worth<\/strong> of \u20b9500 crore or more.<\/li>\n\n\n\n<li><strong>Turnover<\/strong> of \u20b91,000 crore or more.<\/li>\n\n\n\n<li><strong>Net profit<\/strong> of \u20b95 crore or more.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Let us understand by an <strong>example.<\/strong><br>H Limited is the holding company, and S Limited is its subsidiary. While S has met all the requirements under Section 135(1) of the Companies Act and qualifies for CSR activities, H does not meet the eligibility criteria and is therefore not required to comply with CSR provisions.<br>The key takeaway is that compliance with Section 135(1) is company-specific. The relationship between holding and subsidiary companies does not automatically extend CSR obligations or qualifications across the group. As a result, H cannot qualify for CSR simply because S, within the group, qualifies.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"CSR_Ineligibility_Which_Companies_Are_Exempt\"><\/span>CSR Ineligibility: Which Companies Are Exempt?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong><span style=\"text-decoration: underline;\">Exemption After Ceasing Eligibility<\/span><\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If a company no longer meets the CSR criteria for three consecutive financial years, it:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Is exempt from forming a CSR Committee.<\/li>\n\n\n\n<li>Shall not comply with provisions of section 135(2) to 135(6) till the eligibility criteria under section 135(1) are reattained.<\/li>\n\n\n\n<li>Is no longer obligated to fulfil CSR Committee-related requirements by the board of directors.<\/li>\n\n\n\n<li>Is not mandated to allocate 2% of its average net profit annually toward CSR activities.<\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">This ensures CSR obligations are linked to the company\u2019s financial capacity.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Benefits_Of_CSR\"><\/span>Benefits Of CSR<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Followings are a few benefits that accrue to companies while discharging social obligations.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Build Brand Reputation:<\/strong> Engaging in social initiatives enhances public trust and strengthens a company&#8217;s image.<\/li>\n\n\n\n<li><strong>Foster Customer Loyalty<\/strong>: Ethical practices resonate with socially conscious consumers, boosting loyalty.<\/li>\n\n\n\n<li><strong>Attract Talent:<\/strong> Employees prefer working for companies that contribute positively to society.<\/li>\n\n\n\n<li><strong>Ensure Sustainability:<\/strong> Supporting environmental and social causes creates a stable operating environment.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Activities_That_Qualify_For_CSR_-Schedule_VII_Of_The_Companies_Act_2013\"><\/span>Activities That Qualify For CSR:-Schedule VII Of The Companies Act, 2013<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Projects and programs must be undertaken by the Board of Directors based on CSR Committee recommendations.<\/li>\n\n\n\n<li>These initiatives should align with the activities specified in Schedule VII of the Companies Act, 2013.<\/li>\n\n\n\n<li>The areas listed in Schedule VII are broadly aligned with national priorities.<\/li>\n\n\n\n<li>They emphasise sustainable and inclusive development.<\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">Let\u2019s discuss in brief the items in <strong>Schedule VII of the Companies Act, 2013.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1. Hunger and Health:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Eradicating hunger, poverty, and malnutrition.<\/li>\n\n\n\n<li>Promoting healthcare (including preventive care) and sanitation.<\/li>\n\n\n\n<li>Contributions to Swachh Bharat Kosh for sanitation.<\/li>\n\n\n\n<li>Ensuring access to safe drinking water.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2. Education and Livelihood:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Promoting education, including special education.<\/li>\n\n\n\n<li>Enhancing vocational skills for children, women, elderly, and differently-abled individuals.<\/li>\n\n\n\n<li>Supporting livelihood enhancement projects.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3.<\/strong> <strong>Social Equality:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Promoting gender equality and empowering women.<\/li>\n\n\n\n<li>Establishing homes\/hostels for women and orphans.<\/li>\n\n\n\n<li>Setting up old-age homes and facilities for senior citizens.<\/li>\n\n\n\n<li>Reducing inequalities for socially and economically backward groups.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.<\/strong> <strong>Environmental Sustainability:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Ensuring ecological balance and protecting flora, and fauna, the safety of animals, horticulture and preservation of natural resources.<\/li>\n\n\n\n<li>Contributions to the Clean Ganga Fund for river rejuvenation.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.<\/strong> <strong>Heritage and Culture:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Protecting national heritage, art, and culture.<\/li>\n\n\n\n<li>Restoring historical sites and works of art.<\/li>\n\n\n\n<li>Supporting public libraries and traditional arts\/handicrafts.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>6.<\/strong> <strong>Veterans And Dependants:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Providing support to armed forces veterans, war widows, their dependents.<\/li>\n\n\n\n<li>Extending aid to veterans of the Central Armed Police Forces (CAPF) and Central Para-Military Forces (CPMF).<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>7.<\/strong> <strong>Sports:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Promoting rural, national, Paralympic, and Olympic sports.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>8.<\/strong> <strong>Relief Funds:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Contributions to the PM&#8217;s National Relief Fund, PM CARES Fund, or other socio-economic welfare funds.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>9<\/strong>. <strong>Research and Development:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Contributions to incubators, R&amp;D projects in the discipline of science, technology, and medicine funded by the State or the Central Government or their allied agencies or any public sector undertaking<\/li>\n\n\n\n<li>Donations to public-funded institutions engaged in various research activities e.g., Indian Institute Of Technology (IITs), Department of Pharmaceutical, <a href=\"https:\/\/moneymita.com\/2024\/04\/24\/5-finance-news-picks-feb-2024\/\">AYUSH<\/a>, DRDO, ICMR, and CSIR.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>10.<\/strong> <strong>Rural and Urban Development:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Implementing rural development projects.<\/li>\n\n\n\n<li>Undertaking slum area development.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>11.<\/strong> <strong>Disaster Management:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Supporting relief, rehabilitation, and reconstruction efforts during disasters.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong><span style=\"text-decoration: underline;\">FUNDING FROM CSR FUNDS IN COVID-19<\/span><\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">During the pandemic of COVID which started in March 2020, the Government of India on declaring COVID-19 a disaster, took several proactive measures to deal with it. Several circulars were issued from time to time allowing different activities as eligible for CSR funding.
